Zaslav earns $606M from WBD exit
David Zaslav is set to walk away from the Warner Bros. Discovery empire with a staggering financial windfall, securing what many are calling a golden parachute following his exit from the company.
As of Tuesday, reports indicate that the former president and CEO has reportedly secured a total of $606.1 million in compensation from his WBD holdings. This massive sum is derived from a combination of restricted stock units that converted into cash and stock options.
The total payout is headlined by stock options valued at $381.7 million, which will be subject to various withholding taxes, alongside capital gains taxes. This financial exit comes amidst a period of intense corporate restructuring and a high-stakes merger.
The context for this payout is the recent completion of the WBD takeover deal with Paramount, a transaction that culminated in the official act of painting A Skydance Corporation on the Warner Bros. water tower in Burbank.
During this period, Zaslav has already liquidated a significant portion of his stake, having sold nearly $200 million worth of WBD stock since the initial deal was first struck in February.
The larger financial picture of the transition involves staggering debt figures. In June, Zaslav had overseen a reduction in WBD’s heavy debt load, bringing it down from $53 billion to $33.1 billion. However, under the new joint Paramount-Warner entity, the combined corporation now faces a jaw-dropping $80 billion in debt.
The internal dynamics surrounding the deal were not without friction. At WBD’s annual shareholder meeting in June, a majority of shareholders voted against the golden-parachute packages allocated to Zaslav and other named executives, as well as their proposed 2025 compensation plans.
This move underscores the complex balancing act faced by executives navigating massive corporate shifts and financial pressures, especially when dealing with the monumental debt that now defines the future of the merged media entity.
